CACTUS SIGHT AND SOUND TERMS & CONDITIONS

Terms & Conditions

1. Scope of Services

Company provides design, installation, configuration, integration, repair, maintenance, and consulting services related to commercial audio/visual systems and associated technologies. Specific deliverables, timelines, and pricing shall be outlined in written proposals, estimates, service tickets, or agreements, which are incorporated by reference into these Terms.

2. Estimates, Pricing, and Changes

All estimates are non-binding unless expressly stated otherwise in writing. Pricing may change due to site conditions, customer-requested changes, equipment availability, manufacturer price increases, or unforeseen circumstances. Any material change will be communicated prior to execution when practicable.

3. Payment Terms

Unless otherwise agreed in writing, payment is due upon receipt of invoice. Company reserves the right to require deposits, progress payments, or payment in advance. Past-due balances may accrue interest at the maximum rate permitted under Arizona law. Customer is responsible for all reasonable collection costs, including attorneys’ fees, where allowed by law.

4. Customer Responsibilities

Customer agrees to:

  • Provide accurate site information and timely access to premises;
  • Ensure compliance with building codes, landlord approvals, and HOA or property restrictions;
  • Provide adequate power, structural support, and environmental conditions;
  • Back up all data prior to service; and
  • Designate an authorized decision-maker.

Company is not responsible for delays or failures caused by Customer’s non-compliance.

5. Scheduling, Delays, and Site Conditions

Work schedules are estimates only. Company is not responsible for delays caused by weather, supply chain disruptions, acts of God, labor disputes, or conditions beyond its control. Unsafe or undisclosed site conditions may result in additional charges or suspension of Services.

6. Equipment, Materials, and Ownership

Unless otherwise stated, all equipment remains the property of Company until paid in full. Special-order items may be non-refundable. Manufacturer warranties apply where provided; Company makes no additional warranties beyond those expressly stated.

7. Warranties and Disclaimers

Company warrants that Services will be performed in a commercially reasonable manner consistent with industry standards. EXCEPT AS EXPRESSLY PROVIDED, COMPANY DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, TO THE EXTENT PERMITTED BY ARIZONA LAW.

8. Limitation of Liability

To the fullest extent permitted by Arizona law, Company’s total liability for any claim arising out of or related to the Services shall not exceed the amount paid by Customer for the specific Services giving rise to the claim. In no event shall Company be liable for indirect, incidental, consequential, or special damages, including loss of profits or data.

9. Indemnification

Customer agrees to indemnify and hold harmless Company from claims arising out of Customer’s misuse of systems, violation of law, or breach of these Terms.

10. Compliance with Laws

Customer agrees to use all systems in compliance with applicable federal, state, and local laws, including FCC regulations, privacy laws, and accessibility requirements.

11. Text Messaging (SMS) Communications & Privacy – Arizona

11.1 Consent to Receive Text Messages

By providing a mobile phone number to Company, you expressly consent to receive text messages (SMS/MMS) from Company, which may include:

  • Appointment confirmations and reminders
  • Service updates and technician notifications
  • Billing, payment, and account-related messages
  • Customer support and operational communications

Message frequency may vary. Message and data rates may apply.

11.2 Opt-In and Opt-Out

Consent to receive text messages is not a condition of purchase. You may opt out at any time by replying STOP to any Company text message. You may also request assistance by replying HELP or by contacting Company directly.

11.3 Privacy and Data Use

Company respects your privacy. Mobile phone numbers and messaging data are used solely for business-related communications and are not sold or shared with third parties for marketing purposes, except as required to deliver messaging services or comply with law.

11.4 Arizona and Federal Compliance

Company’s text messaging practices are intended to comply with applicable Arizona laws, the federal Telephone Consumer Protection Act (TCPA), and related regulations. Unauthorized use of Company communications systems is prohibited.

11.5 No Guarantee of Delivery

Text messaging services are provided on an "as-is" basis and may be delayed or unavailable due to carrier issues or circumstances beyond Company’s control.

12. Confidentiality

Any non-public information exchanged in connection with the Services shall be treated as confidential unless disclosure is required by law.

13. Termination

Company may suspend or terminate Services for non-payment, unsafe conditions, or breach of these Terms. Customer remains responsible for payment for Services rendered and costs incurred up to termination.

14. Governing Law and Venue

These Terms shall be governed by and construed under the laws of the State of Arizona, without regard to conflict-of-law principles. Venue for any dispute shall lie exclusively in the state or federal courts located within Arizona.

15. Severability

If any provision of these Terms is held unenforceable, the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with applicable proposals or service agreements, constitute the entire agreement between the parties and supersede all prior discussions or agreements.
